Terms of Service & User Agreement

1. Introduction

Welcome to WeBid2Win. These Terms of Service ("Terms") govern your access to and use of the WeBid2Win platform, including the website, web application, iOS mobile application, and all related services (collectively, the "Platform") operated by WeBid2Win ("we," "us," or "our").

By registering for an account or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.

2. Nature of the Platform — WeBid2Win is a Marketplace Only

WeBid2Win is a technology platform and online marketplace. It is not a licensed automotive dealer, broker, agent, or auctioneer, and it is not a party to any transaction between dealers.

WeBid2Win operates in the same manner as a classified advertising or online marketplace service (such as Kijiji or Facebook Marketplace) — we provide the tools and the environment for two independent parties to connect and communicate. We do not:

  • Buy, sell, broker, or take title to any vehicle;
  • Represent or act as agent for any selling or buying dealer;
  • Participate in, negotiate, approve, or finalize any transaction;
  • Provide financing, insurance, or any regulated automotive service; or
  • Guarantee, warranty, or take any responsibility for any vehicle, bid, or deal.

All transactions, agreements, and arrangements are made exclusively and directly between the Selling Dealer and the Buying Dealer. WeBid2Win is not a party to any such arrangement and assumes no liability arising from any transaction or failed transaction between dealers.

Dealers are solely responsible for ensuring their use of the Platform complies with all applicable dealer licensing, automotive, and consumer protection laws in their jurisdiction.

4. Definitions

  • "Platform" means the WeBid2Win website, web application, iOS app, and all associated services.
  • "User" / "you" means any registered dealer or dealership employee accessing the Platform.
  • "Selling Dealer" means a licensed dealership that submits vehicles for appraisal through the Platform.
  • "Buying Dealer" means a licensed dealership that appraises and bids on vehicles submitted through the Platform.
  • "Appraisal" means a formal bid submitted by a Buying Dealer for a specific vehicle.
  • "Content" means all data, text, images, and information submitted to or displayed on the Platform.

5. Eligibility

Important: WeBid2Win is a business-to-business (B2B) platform exclusively. The Platform is available only to licensed automotive dealerships and their authorized employees. Consumer use is strictly prohibited.

To be eligible to use the Platform, you must:

  • Be a licensed automotive dealer or an authorized representative of a licensed dealership;
  • Be of legal age to enter into binding contracts in your jurisdiction;
  • Have authority to bind your dealership to these Terms; and
  • Not be prohibited from using the Platform under applicable law.

6. Account Registration

You must create an account to use the Platform. You agree to provide accurate, complete, and current information during registration and to keep this information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Accounts may not be shared between individuals. You must notify us immediately at support@webid2win.com if you suspect unauthorized use of your account.

7. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You represent that all vehicle information you submit is accurate to the best of your knowledge, and that you have the authority to submit each vehicle for appraisal.

8. Prohibited Activities

You must not:

  • Use the Platform for any unlawful purpose or in violation of any regulations;
  • Submit false, misleading, or fraudulent vehicle information;
  • Attempt to reverse-engineer, scrape, or extract data from the Platform;
  • Share, redistribute, or resell any data or reports retrieved through the Platform;
  • Use the Platform to access or display third-party proprietary data beyond your authorized individual use;
  • Attempt to gain unauthorized access to any part of the Platform or another user's account;
  • Transmit any malicious code, viruses, or harmful software; or
  • Use the Platform to compete with WeBid2Win or to build a competing product.

9. Dealer-Submitted Content

You retain ownership of any content you submit to the Platform (vehicle photos, condition notes, appraisal data). By submitting content, you grant WeBid2Win a limited, non-exclusive license to store and display that content to authorized connected dealers for the purpose of facilitating appraisals.

You are solely responsible for the accuracy and legality of all content you submit. WeBid2Win does not verify the accuracy of dealer-submitted vehicle information.

10. Observed Auction Data

The Platform may display auction transaction data that has been manually observed and recorded by licensed dealers in attendance at automotive auctions. This data reflects the personal, contemporaneous observations of licensed dealers and does not originate from or constitute a reproduction of any proprietary third-party data service or report.

Such data is provided for informational purposes only to assist with appraisals. WeBid2Win makes no warranty as to its completeness or accuracy. You agree not to redistribute or resell this data.

11. OEM Window Sticker Data

The Platform may retrieve window sticker information for vehicles using publicly available, consumer-facing VIN lookup tools provided by original equipment manufacturers (OEMs). This data is obtained through the same channels available to any member of the public and is used solely to assist dealers with vehicle appraisals.

12. MMR Data — Dealer-Entered Only

WeBid2Win does not provide, supply, retrieve, or facilitate access to Manheim Market Report (MMR) data. WeBid2Win has no connection to Manheim or any Manheim system.

The Platform includes an optional data entry field where a buying dealer may choose to record an MMR value they have independently obtained through their own Manheim account, entirely outside of WeBid2Win. This field is a simple text input. WeBid2Win plays no role in the retrieval, calculation, verification, or supply of any MMR value.

If you choose to enter an MMR value into the Platform, you represent and agree that:

  • You obtained that value independently through your own authorized Manheim account;
  • Your access and use of Manheim data is governed solely by your own agreement with Manheim and Cox Automotive;
  • You will not share, export, or redistribute any MMR value entered into the Platform to any other party; and
  • WeBid2Win bears no responsibility for your compliance with Manheim's terms of service.

13. Data Ownership

You retain ownership of any data you manually enter into the Platform, including vehicle information, photos, condition notes, and appraisal values.

WeBid2Win retains ownership of its proprietary valuation models, depreciation calculations, auction transaction dataset, analytics, and all other Platform-generated data and intellectual property. This data has been developed independently by WeBid2Win and is not derived from any third-party proprietary database. You may not copy, export, or redistribute any Platform-generated data without prior written consent from WeBid2Win.

15. Intellectual Property

The Platform, including its design, code, trademarks, and original content, is owned by WeBid2Win and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use WeBid2Win's trademarks, logos, or branding without prior written consent.

WeBid2Win respects the intellectual property rights of all third parties, including automotive data providers and OEMs. We do not claim ownership of, and do not reproduce, any proprietary data owned by third parties.

16. Limitation of Liability

To the maximum extent permitted by applicable law, WeBid2Win and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business, arising out of or related to your use of or inability to use the Platform.

WeBid2Win's total cumulative liability to you for any claims arising under these Terms shall not exceed the amount you paid to WeBid2Win in the twelve (12) months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless WeBid2Win and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Platform.

18. Termination

WeBid2Win may suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

20. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last Updated" date above and, where appropriate, notify registered users by email. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
